1. Introduction
These terms and conditions govern the provision of digital marketing services by Viral Pixel Services to its clients. By engaging our services, you agree to these terms.
2. Services
The scope of services, fees, and deliverables for each client engagement are defined in a separate Service Agreement or Statement of Work, issued prior to the commencement of work.
3. Payment Terms
Invoices are issued monthly in advance for retainer services. Payment is due within 14 days of the invoice date. Viral Pixel reserves the right to suspend services for invoices outstanding beyond 30 days.
4. Intellectual Property
Upon full payment of all outstanding invoices, all deliverables produced by Viral Pixel for the client become the property of the client. Ad account data, analytics data, and campaign history always remain the property of the client.
5. Termination
Either party may terminate ongoing retainer services with 30 days' written notice. Project-based work may only be terminated in accordance with the terms set out in the relevant Statement of Work.
6. Limitation of Liability
Viral Pixel's liability in respect of any engagement shall not exceed the total fees paid by the client in the preceding 3 months. We do not guarantee specific marketing results, as these are subject to market conditions and third-party platform behaviour beyond our control.
7. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
